Terms and conditions

1. Offers and orders

Our offers are always provisional, unless we declare them in writing to be binding. Unlimited offers will expire after 90 days. Orders, changes to orders and supplements, as well as any verbal agreements and commitments of any kind, including those made by persons working for us in Field Service, will only be binding for us if they are in the written form.

2. Prices

Unless otherwise agreed, all offered and confirmed prices are net prices, plus VAT.

3. Delivery, packaging

The packaging and transport costs are included in the price in the case of the delivery of the goods in one consignment free Europe.

4. Payment conditions

40% of the invoice amount is to be paid at order confirmation and 60% of the invoice amount 10 days after the delivery of the goods, without deductions. Delivered goods remain the property of the supplier until full payment is made.

5. Delivery dates

The precondition for the compliance with delivery dates is that the purchaser fulfils all his obligations in good time and that we ourselves receive our orders correctly and on schedule. Delivery deadlines will be correspondingly extended - even for a delayed delivery - in cases of force majeure, industrial conflicts, operational interruptions and other events that are outside our control. We are then entitled to withdraw partly or completely from the contract without becoming liable for compensation for damages. We are not liable for any delays in the post or during transportation.

6. Delay in acceptance

If the purchaser does not accept the goods within a reasonable time after being informed that they are ready for despatch, the contractor is entitled to invoice the goods  and to store them himself or at a third-party location at the cost and risk of the purchaser.

7. Liability limitations

DE MED. AG accepts no liability of any kind for damage caused as a result of incorrect use and for any claims for persons, animals and equipment.

8. Complaints

The goods that we deliver must be inspected on arrival. Any complaints with regard to quality must be made in writing and must be submitted no later than 8 days after receipt, otherwise the delivery will be considered to have been accepted.

9. Guarantee

In the case of justified complaints in accordance with Point 8, we reserve the right to deliver a replacement within a reasonable period.

10. Right of withdrawal

The purchaser only has the right to withdraw from the contract in the following cases, see Point 5, under the exclusion of any further action against us.

11. Place of fulfilment and jurisdiction

The place of fulfilment for both parties is Zurich. The Commercial Court in Zurich is responsible for the judgement of disputes, insofar as no other agreement has been made. We do, however, reserve the right to initiate legal action against the purchaser at his/her place of residence or the head office of the purchaser. The place of enforcement is Zurich. Swiss law will apply.

12. Retention of title

The delivered goods remain the property of DE MED. AG until they are paid in full.

13. Acceptance of conditions

The placing of an order implies the acceptance of these General Terms and Conditions by the purchaser.
